全球最大的水泥企业诞生了,市值超过1000亿。

去年底,中国建材集团有限公司(简称“中国建材”)在北京总部举行了水泥板块业务整合大会。历时15个月零6天,中国建材终于把旗下主要水泥资产注入到上市公司天山水泥中,其中包括中联水泥100%股权、南方水泥99.93%股权、西南水泥95.72%股权、中材水泥100%股权。这笔高达981亿元的购买资产交易,创造了A股历史上交易规模之最。

中国建材集团董事长兼上市公司中国建材股份董事长周育先说,这次水泥板块业务整合,是2016年中国建材集团与中国中材集团合并重组“三步走”规划当中的第三步。这一步完成后,中国建材水泥板块将诞生一家全球业务规模最大、千亿市值的水泥上市公司。此举同时也意味着中国建材将开启水泥行业新一轮的深度整合。

为何整合

2006年在香港上市后,中国建材即对市场集中度低、产能高度过剩、竞争无序的水泥行业开展了一场声势浩大的联合重组:从2006年收购徐州海螺为起点,到2007年顺利联合浙江四大水泥巨头,并以此为基础组建南方水泥,中国建材“战略整合、区域合作、联合发展”的发展战略初见雏形。以此为模板快速复制,2009年组建北方水泥,2011年成立西南水泥……短短几年间,中国建材迅速重组近千家企业,一跃成为全球规模最大的水泥供应商。这场跨省跨区域的“合纵连横”,推动了我国水泥行业的结构调整和健康发展。

这其中,2016年中国建筑材料集团有限公司与中国中材集团公司(简称:中材集团)实施重组,是中国建材发展史上的标志性事件。

彼时,两家央企重组的重要背景是,从两大集团旗下上市公司的主业来看,中国建材集团旗下的中国建材和中国中材集团旗下的天山股份、宁夏建材、祁连山、中材股份等多家上市公司的主营业务均为水泥。特别是中国中材集团旗下的天山股份、宁夏建材、祁连山主营业务均为水泥生产,在区域覆盖上也存在一定的重合。

随着国家供给侧改革和去产能改革力度加大,国内水泥产业也进入了加速去产能的阶段。

“两材”重组后的中国建材制定了“三步走”规划。

历经了前两步规划,中国建材这次把旗下主要水泥资产注入上市公司天山水泥后,将要完成“两材”深度重组的历史使命。

如何整合

“重组后新天山的水泥、商混业务规模已经是世界第一。”中国建材股份副总裁、新天山水泥总裁肖家祥对《企业观察报》说。

市值约1200亿元,拥有熟料产能约3亿吨、商品混凝土产能约4亿立方米……整合后的新天山水泥,已成为巨无霸,将同时拥有下属法人单位540家、员工约7.2万人,市场范围覆盖华北、华东、华中、华南、西南、西北地区20余个省、自治区、直辖市;设有10个水泥、商混及骨料业务一体化公司,4个商混骨料和特种水泥业务专业化公司,是全球产业链最完整的水泥公司。

整合如此庞大的业务体系绝非易事。

整合的具体工作包括产能减量置换、产业链布局调整、节能减排和打造绿色工厂,主要方法是落实以“组织精健化、管理精细化、经营精益化”为内涵的“三精管理”。

肖家祥为“三精管理”举了几个例子:比如,通过提升装备工艺、优化组织结构和岗位设置、培训提升人员素质等,使人员结构日趋合理,实现人工总成本可控、劳动生产率提高。比如,根据行业形势和竞争压力每年安排人员优化计划,一般设定在5%-8%,而优化升级项目的定编则更为激进,通过岗位撤并、规范劳务工等手段,将主力5000t/d全能水泥企业定编压缩至180人以内,甚至涌现出了实际编制仅60人的7500t/d水泥熟料生产线。

“三精管理”的重点是对标管理和辅导员制。所谓对标管理,即各家企业的指标都透明公开,互相对比,自发学习借鉴彼此的先进经验,形成“先进更先进、先进带后进、后进追先进”的氛围。集团还通过总结归纳,将经验模式化,使一些原本专属于少部分企业的管理秘诀推广到更多企业,在更大范围产生经济效益。辅导员制是对对标管理的补充,即采取人才交流辅导的方式来实现先进带后进。要求从先进企业抽调专业人员组成辅导小组,到落后企业开展长期有针对性的专业业绩提升辅导工作,因地制宜将先进企业的管理理念、诀窍复制到落后企业,在较短时间内有效提升落后企业整体管理水平。

中国建材是“央企市营”和混改的标杆企业。在市场化改革和人才队伍建设上,新天山作为一家上市公司,运用了更加灵活的资本市场股权激励方式,充分激发员工和企业活力;同时借助资本市场的力量,实现再融资与再投资的良性轮动,为股东创造持续稳定的投资回报。为树立良好的央企上市公司形象,创造价值,新天山承诺公司三年分红比例不低于可供分配的50%。

中国建材较早开始探索中国水泥产业链的扩张延伸。在中国建材董事长周育先看来,这些年一路走来,以中联水泥、南方水泥、西南水泥、中材水泥、天山水泥为代表的集团各大水泥企业稳步推动联合重组、管理整合、改革创新和优化升级,实现了跨越式发展;同时倡导并践行“行业利益高于企业利益、企业利益孕于行业利益之中”的经营理念,积极引领水泥行业供给侧结构性改革。

“我们的水泥板块对中国建材集团、对中国水泥行业都做出了重大贡献。这次对水泥业务的整合是集团的重要战略决定,是集团深化国有企业改革、推进国有经济布局结构调整、打造具有国际竞争力的世界一流企业的重要举措,对公司、行业的发展都意义非凡。”周育先说。

完全重组以后的中国建材水泥业务将会是怎样的?

在周育先看来,水泥板块是中国建材集团非常重要的业务板块,利润贡献占比最大,是集团的压舱石业务。而此次重组,是要实现中国建材水泥业务板块产业价值的提升。整合后新天山水泥的协同效应和核心竞争优势将进一步凸显,盈利能力、综合竞争力和可持续发展能力将进一步增强。

下一步

周育先为中国建材水泥板块定下了中长期发展的三个具体目标:一是推动高端化、智能化、绿色化“三化”转型,通过优化升级努力打造环境友好型产业、现代城市标配。二是强化“三精管理”,通过内外兼修持续提升经营管理水平。三是抓住“水泥+”、国际化、“双碳”三大翘尾因素,通过精心发展新业务不断超越平台期。

这其中,“水泥+”,是水泥产业链上从点思维到线思维的一种思维方式上的创新与转变。中国建材在“水泥+”方面进行了重要探索,并已取得了阶段性成果。

对此,中国建材股份总裁、新天山水泥董事长常张利对《企业观察报》说,中国建材从2011年起探索“水泥+”业务,2019年初正式提出“水泥+”战略,已在探索“水泥+”的道路上走过了10年,在产业链向上延展出“水泥+骨料”“水泥+商混”“水泥+预制品”等业务,同时利用水泥制作过程的高温特性进行了水泥窑协同处置和余热发电,让传统产业发挥新价值。

“水泥+”思路也为中国建材水泥产业向“高端化、智能化、绿色化”转型提供了发展路径:

高端化方面,应用在乌东德水电站、白鹤滩水电站大坝上的中国建材低热水泥,创造了世界水坝建造史上的奇迹;

智能化方面,15条水泥智能化生产线的建成投产,标志着中国建材水泥产业数字化的持续升级;

绿色发展方面,中国建材实现了水泥窑协同处置城市垃圾、危废的技术突破,如今中国建材已建成协同处置生产线44条,危废、固废、生活垃圾年处置规模超过400万吨,减少填埋用地超过1000亩。水泥厂的余热发电装机容量达到2197MW,2021年,余热发电量89亿千瓦时,相当于节约标煤109万吨,减排二氧化碳286万吨,间接实现经济效益37亿元。

按照中国建材的计划,下一步,中国建材的特种水泥要在产能、市场占有率、产品结构和竞争力上实现高端化新突破。
