4月25日，天山股份发布了第八届董事会第七次会议决议公告，称审议通过了《关于控股子公司对外投资的议案》。
《关于控股子公司对外投资的议案》主要内容为：
公司下属子公司南方水泥有限公司之子公司上海南方水泥有限公司通过减量置换的方式关停所属子公司四条熟料生产线，以子公司江苏宜城南方水泥有限公司为项目建设主体，建设一条7000t/d 熟料水泥生产线，配套 13MW 纯低温余热发电系统和年产 290 万吨水泥粉磨系统，项目固定资产静态投资总额为 182,166.88 万元，资金来源为企业自有或自筹。
公告表示，该项目符合国家对水泥工业发展的产业政策要求，符合节约能源与资源、环境保护、实现可持续发展的需要；符合企业优化规划布局、 产能减量置换，提高企业的综合经济效益，提升和强化企业的竞争实 力，实现企业转型升级的需要。
