On December 14, Wenke Garden issued the announcement on the acquisition of 100% equity of Foshan Shengshi Huin eng Photovoltaic Power Generation Technology Co., Ltd. and Zhongshan Shengdi New Energy Technology Co., Ltd. by holding subsidiaries.
The announcement said that Guangdong Jiansheng Green Energy Co., Ltd. (Hereinafter referred to as "Jiansheng Green Energy"), a holding subsidiary of the company, intends to acquire 100% equity of Foshan Shengshi Huineng Photovoltaic Power Generation Technology Co., Ltd. (Hereinafter referred to as "Foshan Huineng") due to business expansion needs, with an equity transfer of 11.342 million yuan; Intends to acquire 100% equity of Zhongshan Shengdi New Energy Technology Co., Ltd. (Hereinafter referred to as "Zhongshan Shengdi"), with a transfer amount of 1.2848 million yuan. According to
the data, Jiansheng Green Energy was established in March this year with a registered capital of 100 million yuan, mainly engaged in solar power generation technology services, photovoltaic equipment and components sales, photovoltaic power generation equipment leasing, energy storage technology services, emerging energy technology research and development and other businesses. At present, Wenke Garden and Guangdong Funeng Electricity Sales Co., Ltd. hold 65% and 35% of the shares respectively. Foshan Huineng was established in June 2021, and its business scope includes solar power generation technology services, sales of photovoltaic equipment and components; Zhongshan Shengdi was established in November 2022, and its business scope includes research and development of emerging energy technologies, sales of photovoltaic equipment and components. As of August 31, 2023, the total assets of Foshan Huineng reached 26.6606 million yuan, and the revenue and net profit from January to August this year reached 2.1874 million yuan and 2.0837 million yuan respectively, both exceeding the whole year of 2022; Zhongshan Shengdi's total assets in the first eight months of this year were 2.4018 million yuan, with revenue and net profit reaching 194500 yuan and 121900 yuan respectively.
It is understood that Foshan Huineng and Zhongshan Shengdi have their own existing distributed photovoltaic power plants.
The announcement shows that through this acquisition, the company acquired the target company's distributed photovoltaic power plants, with a total installed capacity of about 7.07 MW, which helps to improve the company's overall installed capacity. Since
this year, on the basis of landscape business, Wenke Garden has actively expanded its green energy business such as photovoltaic and energy storage. The company's business scope includes new sales of photovoltaic equipment and components, solar power generation technology services, energy storage technology services, etc. Prior to this, the company and Foshan Jianfa Industrial Park Development Co., Ltd. signed the Strategic Cooperation Agreement on Investment in New Energy Business such as Distributed Photovoltaic, enabling each other in distributed photovoltaic power plants and energy storage facilities, sharing resources and promoting common development.
The acquisition is also an important step for liberal arts gardens to further increase the number of photovoltaic.
