The counterparty, Morgan Stanley Capital Services LLC (Type (5) Associate in connection with the Offeror), entered into a number of derivative transactions on different dates, including the purchase and sale of different amounts of securities, with different reference prices, amounts paid/received, and the transactions were for the client's active convenience. And for its own account, the company is ultimately owned by Morgan Stanley.
