On November 3, China Railway held a meeting to promote the construction of the board of directors. Chen Wenjian, secretary of the Party Committee and chairman of the board of directors of the company, attended the meeting and delivered a speech. Wang Shiqi, deputy secretary of the Party Committee, chairman of the trade union and executive director, conveyed the spirit of the SASAC of the State Council on the construction of the board of directors of central enterprises. Wen Limin, convenor of non-executive directors and external directors, was invited to attend the meeting and give a special lecture. Three external directors appointed by China Railway Seventh Bureau, China Railway Construction Engineering and the Joint Stock Company made exchanges and speeches respectively. The meeting was chaired by Ma Yonghong, Secretary of the Board.

Chen Wenjian fully affirmed the positive results achieved in the construction of the board of directors of the company. He pointed out that in recent years, the company has deeply studied and implemented the spirit of General Secretary Xi Jinping's important exposition on the construction of modern enterprise system with Chinese characteristics, implemented the requirements of the new Company Law, comprehensively implemented the promotion meeting and special seminar on the construction of the board of directors of central enterprises of SASASAC under the State Council, and promoted the realization of the board of directors from "tangible management" to "tangible management". The foundation of corporate governance has been continuously consolidated, the quality of the board of directors has been continuously improved, and the role of the board of directors has been more powerful. The board of directors of the company has been awarded the excellent board of directors of central enterprises for three consecutive years, ranking among the top 50 listed companies in China.

Chen Wenjian pointed out that strengthening the construction of the board of directors is a powerful action to firmly support the "two establishments" and resolutely achieve the "two safeguards". It is also an urgent need to actively respond to the complex and severe external situation and the arduous task of reform and development. It is also an inevitable requirement to solve the problems and contradictions faced by corporate governance and to continuously promote the high-quality development of enterprises. The whole company should strengthen the sense of responsibility and urgency to strengthen the construction of the board of directors under the new situation, constantly strengthen the scientific, systematic and effective construction of the board of directors, and provide strong support for the high-quality development of enterprises.
Chen Wenjian requests that efforts should be made to build a scientific, rational decision-making and efficient operation, and to speed up the construction of a scientific, rational and efficient board of directors. First, we should scientifically promote all governing bodies to perform their duties in accordance with the law and regulations, straighten out the boundaries of powers and responsibilities, clarify decision-making responsibilities, and improve the quality and effectiveness of decision-making. Second, we should focus on setting strategies, making decisions and preventing risks, effectively play the role of the board of directors, and implement the requirements of the "six transformations". Thirdly, we should highlight the supervisory role of the board of directors and establish and improve the operation mechanism of the special committees of the board of directors, especially the audit and risk management committee. Fourthly, we should take classified measures to build the board of directors of sub-enterprises, strengthen the responsibilities of Party committee secretaries and chairmen as "the first responsible person", and give full play to the roles of general managers, full-time deputy secretaries and staff directors. Fifth, we should strengthen the construction of external directors, further select and strengthen external directors, strengthen the standardized management and evaluation of external directors, and effectively improve the performance of external directors. More than 200 people attended the meeting, including heads of departments at the headquarters of the
company, external directors appointed by the joint-stock company, chairmen of secondary subsidiaries, secretaries of the board of directors, and relevant personnel of the daily work of the board of directors.
