其中，要求者动议委任独立财务顾问，根据最新财务资料就拟进行的交易向股东提供意见；在举行任何为考虑建议交易的股东大会前，根据集团最新及完整的财务资料考虑建议交易的利弊，提供最后决定所持的理据等。
山水水泥指，无法猜测该批股东选择于临近股东特别大会日期作出要求的动机，公司没做任何猜想。董事会将于要求函件送达日起计21日内发出股东特别大会通告，而该大会将于下一个21日内召开。
