中国证监会网站16日晚间公布上市公司并购重组审核委员会2014年第54次会议审核结果，光华控股重组申请获得有条件通过。
光华控股此次拟以5.76元/股的价格向金圆控股等10名交易对象发行4.29亿股购买其持有的互助金圆100%股权。
光华控股的审核意见为：请申请人进一步规范标的资产商标授权许可使用的安排。请独立财务顾问、律师核查并发表明确意见；请申请人就标的资产社保计缴率偏低的情形予以充分披露。请独立财务顾问、会计师、律师就上述情形的合规性发表明确意见。
