Lafarge and Holcim have announced details of their divestitures in Brazil as part of the merger to create LafargeHolcim.
In early July, Lafarge and Holcim established the Lafarge-Holcim Joint Divestiture Committee, which agreed to apply to Brazil's competition regulator, CADE, for a comprehensive and high-quality divestiture plan, taking into account the possible requirements of the competition regulator.
It is reported that these assets include three comprehensive cement plants and two cement grinding stations, with an annual comprehensive cement production capacity of 3.6 million tons. In addition, the divested assets include a ready-mix concrete plant located in the southeastern region of Brazil. Details are as follows:
Lafarge's cement factory in Matozinhos
Lafarge's cement factory in Arcos Jazida
Holcim's cement factory in Cantagalo
Lafarge's cement grinding station at Arcos Cidade
Lafarge's cement grinding station in Santa Luzia
Holcim's ready-mix concrete plant in Pouso Alegre
The list of assets proposed for divestiture has been submitted to CADE during the pre-application negotiations, and these assets will be reviewed and further discussed by CADE before a final agreement is reached with CADE.
The divestiture process will be carried out within the framework of the relevant social procedures, ongoing dialogue with employee representative bodies, as well as discussions with competition authorities and potential buyers. The divestiture plan will be implemented after Holcim and Lafarge enter into a merger transaction.
Lafarge and Holcim said in a joint statement that Brazil is an important market for the future of LafargeHolcim and that LafargeHolcim will continue to be committed to operating in Brazil, serving customers in all areas of cement, aggregates and ready-mixed concrete.
