By-election of non-independent directors by Jinyuan Shares

December 1, Jinyuan issued a notice on the by-election of non-independent directors.

The announcement shows that Jinyuan Environmental Protection Co., Ltd. (Hereinafter referred to as the "Company") held the 22nd meeting of the 11th Board of Directors on December 01, 2025, deliberated and adopted the Bill on the Election of Non-independent Directors, which was examined by the Nomination Committee of the Board of Directors. The Board agreed to elect Mr. Chen Guohua as a candidate for non-independent director of the eleventh session of the Board of the Company (resume attached), with the term of office commencing from the date of approval by the shareholders' meeting of the Company and ending on the expiry date of the term of the eleventh session of the Board of the Company.

Chen Guohua, male, born in September 1967, member of China Democratic League, doctor, associate professor of mineral deposits. He was the deputy general manager of Northeast Asia Co., Ltd. of Zijin Mining Group Co., Ltd., the president and chief engineer of Northeast Asia Mineral Geological Exploration Institute, the deputy general manager and chief engineer of China Railway Resources Geological Exploration Co., Ltd., the chief geologist of Beijing Hanfeng United Technology Co., Ltd., the assistant president and chief geologist of Shanghai Pengxin Mining Investment Co., Ltd. Deputy General Manager and Chief Economist of Pengxin Global Resources Co., Ltd. and Deputy General Manager of Beijing Huaxia Jianlong Mining Technology Co., Ltd. He is currently the deputy general manager of Jinyuan Environmental Protection Co., Ltd.
