After the self-examination of the parties, the investigation involves the following two aspects:
First, in 2022, Jinke Holdings and Huang Hongyun were unable to provide funds to cover their positions due to their inability to repurchase the pledged repurchase business of securities firms, which resulted in the compulsory liquidation of the pledged shares by the relevant securities firms. As a result, the holdings of Jinke shares were passively reduced and the reduction plan was not disclosed in advance;
Second, Huang Hongyun and Jinke Holdings, as obligors of information disclosure, failed to fulfill their disclosure obligations in time after the dissolution of the concerted action relationship with the original concerted actors and the reduction of the company's shares in 2022.
Jinke shares said in the announcement that Huang Hongyun and Jinke Holdings deeply apologized for the above matters, and have learned a profound lesson and learned to understand the relevant provisions, and the Shenzhen Stock Exchange has given a notice of criticism and taken relevant regulatory measures in response to the above matters.
At the same time, Jinke shares stressed that the listed company is not the main body involved, will not have a significant adverse impact on the company's production and operation activities, the company will continue to steadily promote the reorganization work, will not have a negative impact on the "Jinke Share Reorganization Plan (Draft)" which has been voted through, and will not have a negative impact. It will not adversely affect the Chongqing Jinke Reorganization Plan (Draft) submitted to the creditors' meeting for voting. According to
