(Hereinafter referred to as "Dingxi New Energy") registered and established Dingxi Company in Dingxi City, Gansu Province, to undertake the construction of the second batch of 150,000 kilowatt wind and solar power projects in Anding District of Dingxi City (hereinafter referred to as "Dingxi Project"). The registered capital of Dingxi Company is RMB300 million, of which Sinoma Blade has subscribed a capital contribution of RMB255 million, holding 85% of the equity, and Dingxi New Energy has subscribed a capital contribution of RMB45 million, holding 15% of the equity. approval process, due to the inconsistency between the shareholders of Dingxi Company and the members of the Dingxi Project Declaration Consortium, the wind power project failed to be approved by the relevant departments of the local government, resulting in the failure to continue the implementation of the Dingxi Project. Therefore, Sinoma Blade intends to declare to the Dingxi Project that Triumph Glass, one of the members of the consortium, has the right to contribute 85% of the equity of Dingxi Company (including the equity of the target company corresponding to the right to contribute), so as to ensure the continued promotion of the Dingxi Project.
