On December 2, the State Energy Group issued the Announcement on the Registration of Guodian Overseas Power Co., Ltd. as a Wholly-owned Subsidiary of China Guodian Group Co., Ltd. in Hong Kong.
The announcement said that the State Energy Group found that someone had registered and established "Guodian Overseas Power Co., Ltd." (Hereinafter referred to as "Guodian Overseas") in Hong Kong by forging official seals and signatures of legal persons, and registered it as a wholly-owned subsidiary of China Guodian Group Co., Ltd. Upon verification, "Guodian Overseas" and its shareholders, directors and subsidiaries or branches at all levels (if any) do not have any equity or affiliation relationship with it and "Guodian Overseas Power Co., Ltd.", nor do they have any investment, cooperation, business, authorization and other relationships, and all acts of the aforementioned subjects have nothing to do with it.

on the registration of Guodian Overseas Power Co., Ltd. as a wholly-owned subsidiary of China Guodian Corporation in Hong Kong under an assumed name China Energy Investment Corporation Limited (hereinafter referred to as the Group) is owned by China Guodian Corporation Limited and Shenhua Group. The limited liability company was established by merger and reorganization in 2018, and the registration of China Guodian Corporation was cancelled on December 31, 2021. Guodian Overseas Power Co., Ltd., in which the Group holds 51% of the shares, was incorporated in June 2007 in Changping District, Beijing.
Recently, our group found that someone registered and established "Guodian Overseas Power Co., Ltd." (Hereinafter referred to as "Guodian Overseas") in Hong Kong by forging official seals and signatures of legal persons, and registered it as a wholly-owned subsidiary of China Guodian Group Co., Ltd. Upon verification by our Group, "Guodian Overseas" and its shareholders, directors and subsidiaries or branches at all levels (if any) have no equity or affiliation relationship with our Group and "Guodian Overseas Power Co., Ltd.", nor do they have any investment, cooperation, business, authorization and other relationships. All acts of the aforementioned subjects have nothing to do with our Group. Our group reserves the right to hold the relevant subjects accountable in accordance with the law. All sectors of society
should be vigilant and pay attention to risk prevention. If any suspected illegal and criminal acts are found, please report them to the relevant departments as soon as possible.
