海南瑞泽全资子公司肇庆市金岗水泥有限公司对外转让其生产线规模为2500t/d的水泥熟料产能指标，最终交易价格将参照市场价格由交易双方协商确定。
海南瑞泽新型建材股份有限公司上市公司发布第五届董事会第十四次会议审议通过《关于子公司金岗水泥拟对外转让水泥熟料产能指标的议案》，鉴于水泥行业政策导向，结合公司全资子公司肇庆市金岗水泥有限公司（以下简称“金岗水泥”）自身无石灰石矿山资源，原先当地石灰石材料尚能满足其生产需求，但近两年，当地石灰石材料资源枯竭以及环保压力趋紧，目前金岗水泥石灰石材料全部来源广西地区，导致金岗水泥熟料生产成本较高，水泥产品缺乏竞争优势；同时金岗水泥的《全国工业品生产许可证》有效期至2023年1月21日，根据水泥行业现有政策及上述政策导向，后续金岗水泥的《全国工业品生产许可证》续期存在不确定性。
鉴于以上原因，董事会同意金岗水泥对外转让其生产线规模为2500t/d的水泥熟料产能指标，最终交易价格将参照市场价格由交易双方协商确定。按照同类交易的市场惯例，签订水泥熟料产能指标转让协议后，金岗水泥预计可继续生产至少15个月以上水泥熟料，且后续金岗水泥可以通过外购熟料方式继续生产和销售水泥。
