of August 4, Sanchao New Material issued an indicative announcement on the signing of the Share Transfer Agreement and the Voting Waiver Agreement by the controlling shareholders, the actual controllers and the shareholders holding more than 5% of the shares of the company and the signing of the Conditional Share Subscription Agreement by the company and the proposed change of the controlling shareholders and the actual controllers of the company.
Sanchao New Material said that the controlling shareholder of the company will be changed to Boda Unity , and the actual controller will be changed to Mr. Liu Jingqi.
Previously, on August 1, Mr. Zou Yuyao, the controlling shareholder and actual controller of Sanchao New Material, and Mr. Liu Jianxun, the shareholder holding more than 5% of the shares, signed the Share Transfer Agreement with Boda Unity and Boda Xinneng. It was agreed that Boda would transfer 18.8954 million shares of the company held by Zou Yuyao and Liu Jianxun in two phases by agreement .
On the same day, Zou Yuyao and Liu Jianxun signed the Voting Right Waiver Agreement with Boda respectively.
Sanchao New Material said that after the completion of the first phase of delivery and the waiver of voting rights, the controlling shareholder of Sanchao New Material will be changed to Boda Unity , and the actual controller will be changed to Mr. Liu Jingqi.
If the second phase of delivery is completed, the proportion of shares held by Zou Yuyao, Liu Jianxun and Boda Unity will be 22.95% and 4.99% respectively, and the proportion of voting rights will be 0%.
In addition, on 1 August, Sanchao New Material also issued a prompt announcement on the disclosure of the plan to issue A-share stocks to specific targets in 2025, and
signed the Share Subscription Agreement with Boda. Boda Unity intends to subscribe for all 12.475 million shares issued by Sanchao New Material to specific targets in cash .
If the issuance is completed, the proportion of shares held by Boda Unity will further rise to 24.83%, which is still the controlling shareholder of the company, and Liu Jingqi is still the actual controller of the company.
It is worth noting that Sanchao New Material has resumed trading since the opening of the market on August 5 (Tuesday), closing at 25.8 yuan per share, up or down by 7.1%. According to
the data, Liu Jingqi holds 95% of the shares of Boda Unity. As a holding platform company, Boda Unity mainly carries out business through its holding subsidiary Boda Xinneng.
